1. Terms & Conditions of Service

(Please note that these will become a binding agreement once you have requested VLT LEGAL to commence the services, whether verbally or in writing).

TERMS & CONDITIONS OF SERVICE

1 The Services

The client (“you“) agree to engage VLT Legal Services Ltd of Crendon Cottage, Chapel Hill, Speen, Princes Risborough, Bucks HP27 0SL (“VLT Legal”) to advise you and/or to negotiate and otherwise draft, amend and prepare for signature various agreements as and when required.  VLT Legal hereby agrees to provide such services to you (“the Services”) upon the terms and conditions set out below.

2 Term

The Services shall begin once you have requested VLT Legal to commence the Services (either verbally or in writing) and will remain in full force and effect until the completion of the Services, subject to earlier termination as provided in this Agreement.  The Term can also be extended by mutual written agreement of both parties.

3 Fees and Expenses

You will pay VLT Legal for the Services at the applicable hourly rate or a flat fee as otherwise agreed.  Fees shall become due upon completion of the Services and upon VLT Legal delivering an invoice to you. While VLT Legal is responsible for its normal business expenses, you agree to reimburse VLT Legal from time to time for any reasonable and necessary additional expenses (“Expenses”) incurred by VLT Legal in connection with providing the Services hereunder.  All such Expenses will be notified to you in advance and will be subject to your approval, such approval not to be unreasonably withheld. VLT Legal shall deliver invoices to you for all such Expenses.

4 Payment

You agree to pay VLT Legal in full no later than one calendar month from the date of  VLT Legal’s invoice for the relevant Services and, where applicable, Expenses.   VLT Legal shall deliver invoices to you in a timely manner.   Invoices shall include full documentation of time spent in providing the Services and all relevant receipts for Expenses, where applicable.

5 Confidentiality

VLT Legal shall treat as confidential all documents, information and advice provided by you, your employees and agents during the Term.  VLT Legal shall not disclose any such confidential information to any third party except in the following circumstances:

(i)   where such disclosure is necessary in order to carry out the Services;

(ii)  where VLT Legal is requested by law or by any regulatory authority to make the disclosure; or

(iii) where the document, information or advice enters the public domain through no fault of VLT Legal.

This obligation will survive indefinitely after completion of the Services.

6 Return of Property

Upon your reasonable and timely request, which must be evidenced in writing, VLT Legal will return to you any documentation, records or confidential information which is your property.

7 Capacity

It is expressly agreed that VLT Legal acts as an independent contractor and not as your employee in providing the Services.  You and VLT Legal both acknowledge that this Agreement does not create a partnership or joint venture and is exclusively a contract for service.

8 Indemnity and Limitation of Liability

Both parties understand and agree that VLT Legal is offering services of legal consultancy.  VLT Legal has in place and undertakes to maintain insurance cover with a reputable company in respect of professional indemnity and legal costs to a combined value of £250,000 (two hundred and fifty thousand pounds) per claim.

It is understood and agreed that VLT Legal will have no further liability to you or to any other party beyond the amount stated above for any loss or damage (whether direct, indirect or consequential, including loss of profits) whether arising from breach of any of the obligations or warranties contained in this agreement or from VLT Legal’s negligence in providing the Services under this Agreement.

9 Assignment

VLT Legal will not voluntarily or by operation of law assign or otherwise transfer its obligations under this Agreement without your prior written consent.

10 Notices

All notices, requests, demands or other communications required or permitted by the terms of this Agreement will be given in writing and delivered to VLT Legal at the address appearing above and to you at such business or home address as you notify to VLT Legal, or to such other address as either of the parties may from time to time notify the other.

11 Dispute Resolution

If any dispute shall arise out of or in connection with this Agreement between you and VLT Legal, both parties will attempt to resolve the dispute through friendly consultation.

If the dispute is not resolved within a reasonable period then any or all outstanding issues may be submitted to mediation in accordance with any statutory rules of mediation.  If mediation is not successful in resolving the entire dispute or is unavailable, any outstanding issues will be submitted to final and binding arbitration in accordance with the laws of the United Kingdom of Great Britain and Northern Ireland.  The arbitrator’s award will be final, and judgement may be entered upon it by any court having jurisdiction within the United Kingdom of Great Britain and Northern Ireland.

12 Termination

This Agreement may be terminated in writing at any time by either party to the other by mutual agreement or in the event of any of the following:

(i) material failure by the other party to fulfil its obligations under the Agreement and failure to remedy such breach (if capable of remedy) within fourteen days of notice to do so, such notice to contain warning of intention to terminate; or

(ii) a petition being presented or meeting convened for the purpose of winding-up the other party, that party becoming the subject of an administration order or entering into liquidation (whether compulsory or voluntarily) or that party compounding with its creditors generally or having an administrator, receiver, or administrative receiver appointed over all or any part of its assets; or

(iii) Force Majeure which is not resolved as provided for in this Agreement within 60 days.

13 Force Majeure

VLT Legal shall have no liability to you to the extent that Force Majeure results in any interruption or suspension of the Services or VLT Legal’s failure to carry out the Services in accordance with the Agreement, provided that VLT Legal informs you as soon as reasonably possible of any Force Majeure and uses its best efforts to avoid or minimise the effect of any Force Majeure.

Force Majeure means:

(i)    fire or storm or tempest;

(ii)   acts of God or kidnapping or hijacking or terrorism; or

(iii)  riot or civil commotion or war.

14 Miscellaneous

(i)  These terms and conditions form the entire agreement between the parties in relation to the provision of the Services and supersede and extinguish any prior drafts, agreements, undertakings, representations and arrangements of any nature whatsoever, whether or not in writing.

(ii) The Agreement may not be varied unless such variation is expressly agreed in writing by a duly authorised representative of each of the parties.

(iii) A person who is not party to this Agreement shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Agreement.  This clause does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act.

(iv) In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement

(v) The waiver by either party of a breach, default, delay or omission of any of the provisions of this Agreement by the other party will not be construed as a waiver ofany subsequent breach of the same or other provisions.

15 Governing Law

This Agreement shall be construed in accordance with and governed by the laws of England and the parties submit to the exclusive jurisdiction of the English Courts.
